1. What this document is
These Terms of Service ("Terms") are the agreement between you and Butr inc, a company incorporated in Quebec, Canada (130 Duchastel, Outremont, Quebec H2V 3G1), trading as MasterHold and operating masterhold.com and the MasterHold application ("MasterHold," "we," "us"). They cover your use of the MasterHold website, application, e-mail addresses, connections to other services, and everything we do for you through them (together, the "Service").
You accept these Terms and our Privacy Policy twice: once when you request a beta invitation, and again on the screen you see the first time you sign in. When we publish a new version, you will be asked to accept it again before you continue.
If you do not agree with these Terms, please do not use the Service.
2. The Service
In short: MasterHold keeps track of your releases, contracts, royalty statements and invoices, and does the admin around them for you: it reads your documents, estimates what you are owed, drafts the invoices and follow-ups for you to check, and sends them in your name when you say so. It can also find statements in a mailbox you connect. It does not decide what you are legally entitled to. It is in private beta.
2.1 What MasterHold does. The Service is software for independent music artists. Today it:
- Keeps your catalogue. Releases, tracks and their recording codes (ISRC), labels and distributors, contracts, royalty statements, invoices, and the people you deal with at each label.
- Imports your catalogue. From public catalogue data on Spotify, with Apple's public iTunes lookup as a fallback (release titles, dates, artwork, identifiers, recording codes). You never give us a Spotify or Apple login.
- Reads your documents. Contracts, royalty statements and invoices you upload, forward, or let us find (PDF, Excel, CSV, Word, ZIP) are read by software, including AI-assisted extraction, to pull out figures, periods, royalty rates, advances, shared-deal splits, reversion dates, and the parties involved.
- Works out balances. From the statements and contracts it has read, MasterHold estimates what each release has earned, what is still recouping against an advance, what has been paid, and what looks outstanding.
- Brings statements in automatically. Through a connection to your Curve Royalty Systems account (Section 7.1), through a Gmail or Outlook mailbox you connect (Section 7.2), and through a unique MasterHold e-mail address that you can give to labels or point your own mailbox's auto-forward at (Section 8).
- Drafts and sends e-mail in your name. Statement requests, contract requests, invoices, and payment follow-ups, sent from your MasterHold address at your instruction (Section 6).
- Receives and files replies. Replies to those e-mails arrive at your MasterHold address, are filed in your account with their attachments, and are forwarded to your own inbox.
- Watches for new releases. With your Spotify artist profile on record, MasterHold checks public catalogue data for new releases and tells you about them. You can switch this off in Settings.
2.2 Private beta. The Service is in a private, invite-only beta. See Section 4.
2.3 What MasterHold is not. MasterHold is not a label, distributor, publisher, collection society, payment service, bank, or collection agency. We never hold, receive, or move your money: invoices are paid by the label directly to you. We are not a party to any contract between you and a label or distributor.
3. Not legal, accounting, tax, or financial advice
In short: MasterHold is a tool, not an adviser. Everything it reads or calculates comes from your documents and can be wrong. Check it before you rely on it or send it.
3.1 MasterHold is not a law firm, accounting firm, tax adviser, or financial adviser, and the Service does not provide legal, accounting, tax, or financial advice. Nothing in the Service is a recommendation about what you should do with your rights, your contracts, or your money.
3.2 Figures, dates, rates, balances, recoupment positions, "ready to invoice" amounts, shared-deal splits, recording codes, and contract summaries shown in the Service are estimates derived by software from the documents and public data you provide or let us find. The AI-assisted reading can misread a figure, miss a clause, or apply the wrong period; a catalogue match can pick the wrong recording. Our calculations assume the documents are complete and the readings are correct.
3.3 We do not verify the accuracy of your documents or of what the Service extracts from them. Review every figure before you rely on it, and review every invoice or message before it is sent. Decisions about your rights and your money are yours and your professional advisers'.
3.4 Where the Service flags something ("looks unpaid," "advance may be recouped," "reversion date approaching," "needs a look"), it is a prompt to check, not a finding of fact.
4. The beta
In short: The beta is free and invite-only, and it may end at any time — we will e-mail you where we can, any notice the law gives you still applies, and your right to export and delete your data stays. We may later offer a paid Premium upgrade — nothing is charged unless you first agree to a price. The Service can change, pause, or stop while we build it. During the beta, e-mail to labels may go to a MasterHold test inbox, or not be sent at all, instead of reaching the label — the app shows the beta-send status.
4.1 Invite-only. Access is by invitation. We may accept or decline a request at our discretion, and we may limit how many accounts are active at once.
4.2 Free during the beta. There are no fees during the beta and no trial deadline. We do not collect payment-card details or charge you for beta access; the bank or payment details you may enter are for printing on invoices to your labels. Any plan or price shown inside the app is a plan for later, not a charge. Any separate written commitment we made to you about pilot access remains effective according to its terms.
4.3 The beta may end at any time. We may decide at any time to end the beta, or your access to it, including to move to a paid service or to stop offering the Service, subject to Section 15.5 and any notice or other rights the law gives you. Declining a paid upgrade does not by itself end your access while the free beta runs (Section 4.4). We will tell you by e-mail where we can and give any advance notice Section 15.5 or the law requires. Ending the beta does not take away your right to export your data or to delete your account (Section 15), and the retention and deletion rules in the Privacy Policy still apply.
4.4 A paid Premium upgrade may be offered. We may later offer a paid Premium plan or upgrade. If we do, we will tell you the price and what it includes, and we will e-mail you at least 30 days before any charge could apply to your account. Nothing is charged until you explicitly agree to a price first. Without that agreement your account is never charged, and declining the upgrade does not by itself end your access to the free beta while it runs. You can stop using the Service, and take your data with you, at any point.
4.5 A beta is a beta. Features will change, break, and be removed while we build. We do not promise uptime, response times, or that any feature will stay. Where we can, we will tell you about changes that affect how you work.
4.6 Keep it quiet (a request, not a rule). We ask that you do not share invitation links, screenshots, or feature details publicly while the beta runs. This is a courtesy request between us, not a confidentiality obligation, and nothing happens if you do share.
4.7 Label e-mail during the beta. While the beta runs, label-bound e-mail you send is handled in one of three ways, depending on the recipient: delivered as normal to a recipient on our allow-list; redirected to a test inbox we control instead of the label, with the subject tagged "[BETA TEST → <the label's address>]" and a banner on top; or, if no test inbox is configured, recorded in your account without being sent at all. The app shows the beta-send status, and for a redirected message your account keeps the label address it was meant for even though the label did not receive it — do not treat a record in the app as proof that a label received anything. E-mail addressed to you (sign-in codes, notifications, forwarded statements, your own copies) goes to your real address, except that all external delivery from or to a demo or test account (Section 5.5) is blocked.
4.8 Connections to other services during the beta. Mailbox connections (Section 7.2) depend on Google's and Microsoft's review of MasterHold. As of the effective date Google has not verified MasterHold: its consent screen may show an "unverified app" warning, and Google, Microsoft or your organisation may restrict, block, or end a connection so that you need to reconnect (Google's 7-day connection limit applies to apps in its "Testing" status, which MasterHold left on 2 November 2026; connections made before then may need one reconnection). The app tells you before you connect, reports a stopped connection as needing reconnection, and you can reconnect or disconnect at any time. We do not represent that Google or Microsoft has approved or endorsed the Service.
5. Your account
5.1 Who can use the Service. You must be at least 18 and able to enter into a contract. If you use the Service for someone else (for example as an artist's manager or accountant), you confirm that you have their authority to do so and that they are bound by these Terms.
5.2 Sign-in. You sign in with your e-mail address and a one-time code we send to it. There is no password. Keep your mailbox secure: anyone who can read your e-mail can sign in as you. Sign-in sessions last up to 30 days; you can sign out at any time, and deleting your account signs you out everywhere.
5.3 Accurate details. Give us accurate account details and keep them current, especially the billing name, address, and tax details that appear on invoices sent in your name.
5.4 Your responsibility. You are responsible for keeping your sign-in mailbox secure and for everything you and the people you authorise do through your account. This does not make you responsible for our own breach of these Terms or of the law.
5.5 Demo and test accounts. We, and partners we authorise as "demo hosts," may create demo or test accounts to show or test the Service. A demo or test account is not an artist account: it holds sample data, e-mail from or to it is blocked from leaving the Service, we do not promise to recover its data for you, and it may be wiped or removed at any time without notice. Do not put real contracts, statements, or personal information into one. If you are a demo host, you may create, open and wipe the test accounts available to you in the Test-accounts area and nothing else, you may not use them to hold real artist data, and Sections 9 to 17 apply to you as they apply to any user.
6. Acting on your behalf
In short: You authorise MasterHold to send e-mail to labels and distributors in your name, and to receive their replies. You decide what goes out. Nothing is sent to a label without you either pressing send or setting up a schedule you can switch off.
6.1 Your authorisation. By using the e-mail features you authorise MasterHold to, in your name and as your agent for this limited purpose:
- (a) send statement requests, contract requests, invoices, and payment follow-ups to the labels, distributors, and contacts you choose, from your MasterHold address;
- (b) receive replies and other mail sent to your MasterHold address, file them and their attachments in your account, and forward them to your own e-mail address;
- (c) send scheduled follow-ups that you have set up (for example, a reminder when a contract request has not been answered); and
- (d) where you connect a mailbox, search it for statement e-mails and create a Gmail forwarding filter or up to three Outlook redirect rules in it, as described in Section 7.2.
Our authority is limited to transmitting and receiving. We never negotiate, settle, waive, or agree anything with a label on your behalf, and nothing we send is a representation by us about your rights.
6.2 You decide what goes out. Every invoice, request, and follow-up starts as a draft that you can read and edit. By default nothing is sent to a label until you press send. Scheduled follow-ups and automatic invoice creation are opt-in settings that you can turn off at any time. A scheduled follow-up repeats a message you already approved.
6.3 Your name on it. E-mails are sent from your MasterHold address (an address at masterhold.com that is yours) with your name as the sender, and may carry our footer. Invoices carry the billing, tax, and payment details you have entered.
6.4 Review before you send. You are responsible for the content, the amounts, and the recipients of everything sent from your account, including anything drafted or pre-filled by the Service. By pressing send (or by setting a schedule) you adopt the figures in the message as your own. Check them against your own records before sending an invoice. This does not make you responsible for a message we sent to a wrong recipient or with wrong content through our own error.
6.5 Lawful use of e-mail. Use the e-mail features only for communications you are lawfully entitled to send: statement and contract requests, invoices and payment follow-ups to your own labels, distributors and business contacts. A contact's presence in the shared directory is not consent to marketing, and the Service is not for marketing. You are responsible for the recipients and the instructions you choose; we remain responsible for the duties the law places on us as the service that sends, or causes to be sent, the message (for example under Canada's Anti-Spam Legislation, the UK PECR and the US CAN-SPAM Act).
6.6 What we send on our own initiative. We only e-mail third parties at your instruction. We e-mail you about your account. Three kinds cannot be switched off: sign-in codes, account-deletion confirmations, and notices of changes to these Terms or the Privacy Policy. Everything else — statements received, label replies, money, connection problems, new releases, the weekly digest — you choose in Settings → Notifications (new-release notifications and the weekly digest start switched off), and every event stays visible in your Activity page whether or not it was e-mailed. We do not use your address to send you unrelated promotions.
6.7 Not a collection agency. We send the invoice and the follow-up; we do not negotiate, collect, hold, or pursue payment, and we make no promise that any label will reply or pay.
7. Connected services
In short: If you connect your Curve account, we store your Curve sign-in encrypted and use it only to collect your statements; disconnecting wipes it. If you connect Gmail or Outlook, the permissions let us read mail and manage mailbox settings; we use them only to look for e-mails that look like royalty statements and to set up a forward (a Gmail filter or up to three Outlook rules). Disconnecting deletes our stored token and asks the provider to remove what we set up; if removal fails, the app tells you what remains and how to remove it yourself. Statements already filed stay. Spotify and Apple data is public catalogue data, with no login.
7.1 Curve Royalty Systems. You can connect your Curve account so MasterHold collects your royalty statements automatically. To do that you give us a Curve session token from your own browser, or your Curve sign-in e-mail and password so MasterHold can sign in for you. We store these encrypted at rest (AES-GCM; the encryption key is held separately from the database and is never stored with it), decrypt them only for the moment of a fetch or sign-in, never show them back to you or to anyone, and never write them to logs. The app shows you the connection's progress and never claims a complete import when Curve's listing was partial. Disconnecting Curve in Settings wipes the stored credentials immediately. You may only connect a Curve account you are entitled to use, and your use of Curve remains subject to Curve's own terms. Curve's sign-in page uses a CAPTCHA; we use a CAPTCHA-solving service to complete it, which receives the public details of that page needed for the task — not your Curve password, your documents or your MasterHold profile.
7.2 Gmail and Outlook. You can connect a Gmail or Outlook mailbox so MasterHold finds royalty statements already in it and sets up a forward for future ones. When you do:
- (a) You grant the permissions yourself, on Google's or Microsoft's own consent screen. The permissions allow us to read mail and manage mailbox settings; we limit our use to the statement feature described here (the exact permissions and how we use each are in the Privacy Policy, Section 2.6). We do not request a scope to send, delete, or move your mail, and we do not use settings access to create delete or move rules.
- (b) We search for statement e-mail: across your mailbox history, with no date window (for Outlook, your Inbox only, and subject to the Outlook limit in the Privacy Policy; Gmail spam and bin are never searched), we look for messages from statement platforms we know or from senders you have confirmed, when they carry an attachment, and for messages carrying a known statement-portal link. We retrieve matches to check and import them; for Outlook a sender match may be read before we can tell it has no attachment; a match can turn out not to be a statement, and we do not intentionally search unrelated mail. The exact criteria are in the Privacy Policy, Section 2.6. The search is repeated on a schedule while the connection is active.
- (c) We store the matches, not your inbox. Matching statements are filed to your account and read exactly as if you had forwarded them yourself. The connection itself is held as an encrypted token (a provider-issued key that lets the connection continue, stored in encrypted form).
- (d) The forward. We create and maintain a forwarding filter in Gmail or up to three inbox rules in Outlook to send matching future messages to your MasterHold address, and we manage only what we created. The Outlook rules cover the statement-platform domains we know and any non-public domain you explicitly taught us (with an attachment), the individual senders you have taught us (with an attachment, once you have taught us any), and known statement-portal links. When the senders you have taught us change, we update the Outlook senders rule and replace the Gmail filter. The forwarding criteria are not necessarily identical to the historical search. On Gmail, Google requires that you add and verify your MasterHold address as a forwarding address yourself first — we cannot do it for you; the app walks you through it and watches for the confirmation. We never touch a filter or rule you created yourself.
- (e) Disconnect any time in Settings → Statement inbox: we ask the provider to remove the filter or rules we made, ask Google to revoke our access (best-effort; Microsoft has no per-app revocation, so for Outlook the token is deleted on our side), and delete the token and handled-message ids. If a filter or rule could not be removed, the app says so and shows how to remove it by hand; revoking our permission in your Google or Microsoft account on its own does not remove a filter or rule that already exists. Statements already filed stay in your account. You can also revoke our access at Google's or Microsoft's account-permissions page at any time.
- (f) Google user data. Our use of information received from Google APIs follows the Google API Services User Data Policy, including its Limited Use requirements, as set out in the Privacy Policy. Your use of the connection is also subject to Google's or Microsoft's terms for the account you connect.
- (g) Your confirmations. You may only connect a mailbox you are entitled to use, and you confirm that you may share the statement e-mail in it (which may include the details of the label staff who sent it) with us and our service providers.
7.3 Spotify. Catalogue import, recording codes and new-release detection use public catalogue data from the Spotify Web API (artist, album, and track metadata, ISRC codes, and artwork). We do not ask for or receive your Spotify login, and we do not access your Spotify listening data or account. Spotify and its licensors retain their rights in Spotify-sourced content; access through MasterHold does not transfer those rights to you or to us, and the content is subject to Spotify's own terms. You must not use Spotify-sourced content to train an AI or machine-learning model or otherwise feed it into one, and neither do we; our licence in Section 9.3 does not permit any use of Spotify content that Spotify's terms prohibit. MasterHold is not affiliated with, endorsed by, or sponsored by Spotify. Spotify may limit how often we can ask it for data; when it does, the app shows a "Spotify asked us to wait" notice. Butr inc, not Spotify, is responsible for MasterHold, and we make no promise on Spotify's behalf. To the extent permitted by law, Spotify gives no implied warranty that its platform, service or content will meet your needs, be fit for sale, or avoid infringing another person's rights, and Spotify is not liable for MasterHold. You must not modify Spotify's platform, service or content, create adaptations from them, or decompile, disassemble or reverse-engineer them, except where the law prevents that restriction. Spotify is a third-party beneficiary of these Terms and our Privacy Policy and may enforce these Terms directly — this means Spotify can enforce the agreement even though it does not provide MasterHold. These provisions do not remove rights the law does not let you waive.
7.4 Apple Music / iTunes. Some catalogue matching uses Apple's public lookup service for public release metadata. No login is involved.
7.5 Third-party services. Curve, Google, Microsoft, Spotify, and Apple are independent services with their own terms and privacy policies. We are not responsible for them, and a connection can stop working or be limited if they change their rules, their review of MasterHold, or their rate limits.
8. Your MasterHold e-mail address and forwarding
In short: Your account has its own masterhold.com address. Whatever is sent there is read by software, filed in your account, and forwarded to you. Only forward what you are entitled to share.
8.1 Your address. Each account has a unique address at masterhold.com. You can give it to labels and distributors as the place to send statements, or create a rule in your own mailbox to auto-forward statement e-mails to it.
8.2 What happens to mail sent there. E-mail that arrives at your address is processed by software: attachments and download links are captured, the sender's authentication is checked, statements are read and filed against your releases, and the message is forwarded to your own e-mail address (you can turn forwarding off in Settings). Out-of-office replies, bounces, and our own outgoing mail are set aside, never forwarded. A statement whose sender cannot be verified is held for your review rather than trusted automatically.
8.3 Your consent and your responsibility. By giving out your address or setting up a forwarding rule you consent to MasterHold receiving and processing everything sent to it, including the names and addresses of the people who send it. Only forward material you have the right to share with us. To stop mail arriving, remove the rule in your own mailbox or stop giving out the address; turning forwarding off in Settings stops the copies sent on to your own inbox, not what arrives at the MasterHold address.
8.4 Mail we cannot act on. If something arrives that the Service cannot read (an unsupported file, a file that is too large, a link that needs a login), we tell you so you can upload it yourself. We may decline or discard mail that is abusive, malicious, or unrelated to the Service.
9. Your content, your rights in it, and our confidentiality
9.1 Your Content. "Your Content" means everything you upload to, forward to, connect to, or create within the Service: contracts, statements, invoices, catalogue data, contact details, e-mail, mailbox messages we bring in, settings, and the figures the Service derives from them.
9.2 It stays yours. You keep the rights you already hold in Your Content; we claim no rights in it beyond the licence below. Third-party content — including Spotify and Apple catalogue material and documents your labels wrote — remains subject to its owners' rights and licence terms; these Terms do not transfer ownership of it to you or to us.
9.3 Our licence. You grant us a non-exclusive, worldwide licence to store, copy, process, read (including with AI tools), transmit, display to you, and otherwise use Your Content solely to provide, secure, support, and improve the Service for you. This licence ends for content when we delete it. For the records and shared-directory contact fields that remain after deletion, it continues only for the purposes and periods described in Section 15 and the Privacy Policy, including the stricter limits for connected-mailbox data.
9.4 Your confirmations. You must have permission to give us the material you upload, forward or connect — including contracts and statements that a label or distributor may treat as confidential. That permission must cover processing by the providers named in the Privacy Policy, including AI reading. You must also have the authority to instruct the messages we send for you. You confirm that doing these things does not break any law, contract, or third party's rights.
9.5 No AI training. We do not use Your Content to train AI models, and we require our AI provider not to either (see the Privacy Policy).
9.6 Our confidentiality commitment. We treat Your Content as confidential. We will not disclose it to anyone except the service providers needed to run the Service (each bound by terms that prevent them using it for their own purposes), the people you tell us to e-mail, and where the law requires it. One exception: the business contact fields described in the Privacy Policy, Section 8 (a label's e-mail address, a contact's name and role) may be placed in the shared directory and shown to other users — never the source contract, the correspondence, royalty amounts or any other confidential content. The other limited disclosures in Privacy Policy Section 5.5 (legal requirement, protecting rights or safety, a successor of the Service) also apply to this commitment, subject to the stricter limits for connected-mailbox data in Privacy Policy Section 2.6, including your explicit prior consent before any transfer of Google-derived data in a business sale. Our team opens your account through the app only to support you, keep the Service running, or meet a legal duty, and every such access is logged (Privacy Policy, Section 9). This commitment lasts for as long as we hold Your Content.
10. Acceptable use
You agree not to:
- (a) use the Service for anything unlawful, or to claim rights or money you are not entitled to;
- (b) send spam, deceptive, or harassing e-mail through the Service, or e-mail people you have no business relationship with;
- (c) connect a Curve account or a mailbox, or forward documents, that you are not entitled to use;
- (d) upload anything that infringes someone else's rights or contains malware;
- (e) access or try to access another account, or probe, scan, or disrupt our systems;
- (f) scrape, copy, reverse-engineer, or build a competing service from the Service, or use data obtained through the Service (including Spotify data — see Section 7.3) to train or otherwise feed machine-learning or AI models;
- (g) resell or share your access; or
- (h) use a demo or test account for real artist data, or to send mail to anyone.
We may suspend or close an account that breaks these rules.
11. Intellectual property and feedback
11.1 The Service, including its software, design, text, templates, and brand, belongs to us and our licensors. These Terms give you a personal, non-transferable right to use it, nothing more.
11.2 If you send us feedback, ideas, or bug reports, you let us use them freely, without payment or credit, to improve the Service. You keep any rights you have in the feedback itself.
12. Availability, changes, and support
12.1 We aim to keep the Service available, but we do not guarantee it. There will be maintenance, outages, failed e-mails, and connections that need reconnecting. Nothing in the Service replaces your own records, and you should keep copies of your contracts and statements.
12.2 We may add, change, or remove features, and change the Service's suppliers, as the Service develops. If a change removes something you rely on, we will tell you; if it adds a supplier that handles your data, we will tell you at least 30 days before. A change never authorises a new consent-based use of your data before you have given that consent.
12.3 Support is by e-mail at support@masterhold.com. We answer as quickly as a small team can.
12.4 You can ask for a copy of your data at any time (Section 15.3).
13. Disclaimers
In short: This is beta software. It can be unavailable and it can make mistakes. Keep your own records and check results before acting. The exclusions below apply only where the law permits them.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT FIGURES, EXTRACTED DATA, BALANCES, RECORDING CODES, OR DRAFTS WILL BE ACCURATE OR COMPLETE. YOU USE THE SERVICE, AND RELY ON ANYTHING IT SHOWS OR SENDS, AT YOUR OWN RISK.
14. Limitation of liability
In short: Where the law permits, we exclude the losses listed below (including indirect losses, lost royalties and lost data), and our total liability for the rest is capped at the greater of what you paid us in the last 12 months or CAD 100 (CAD 100 during the free beta). The cap and exclusions do not apply to every claim or every user: laws that protect you as a consumer, and liability that cannot be limited, are not affected.
14.1 TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, ROYALTIES, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE WERE TOLD IT WAS POSSIBLE.
14.2 THIS INCLUDES, WITHOUT LIMITATION, LOSS CAUSED BY AN INCORRECT FIGURE, A MISREAD DOCUMENT, A WRONG CATALOGUE MATCH OR RECORDING CODE, A MISSED DEADLINE OR REVERSION DATE, AN INVOICE FOR THE WRONG AMOUNT, AN E-MAIL THAT WAS NOT DELIVERED, WAS DELIVERED TO A BETA TEST INBOX, OR WAS SENT TO THE WRONG PERSON, A STATEMENT THAT WAS NOT FOUND IN A CONNECTED MAILBOX, OR A CONNECTED SERVICE THAT STOPPED WORKING.
14.3 OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED CANADIAN DOLLARS (CAD 100).
14.4 These exclusions and limits do not apply where the law does not allow them. In particular they do not limit liability for fraud, for intentional or gross fault, or — where Quebec law applies — for bodily or moral injury; they do not remove mandatory consumer rights or remedies, including protection against a merchant excluding liability for its own acts where that applies; and nothing limits a person's non-waivable data-protection rights or a regulator's powers. If you are a consumer, you keep every right the law of your country or province gives you that cannot be waived, including under Quebec's Consumer Protection Act and Civil Code where they apply.
15. Ending things, deletion, and export
In short: Stop whenever you like. Delete your account from Settings: you get a confirmation link, then 30 days to change your mind (the account is not frozen during those days — the beta can still process mail), then your data is removed from our live systems — except invoice and audit records kept 7 years with personal details removed, and the shared directory of label business contacts.
15.1 You can leave at any time. Just stop using the Service. To delete your account, go to Settings → Delete account. We e-mail a one-time confirmation link to your account address (it works once and expires after 60 minutes). The confirmation page shows what will be removed, what is kept, and the grace period, before you confirm. If you cannot sign in, e-mail support@masterhold.com from the address on your account; after we confirm by reply, our team uses a separate administrator tool that deletes the account's live application records immediately, including its invoices and activity trail; there is no 30-day grace period, no sign-in restoration and no 7-year retention of those records. The shared label directory stays and the other exceptions in Privacy Policy Section 10 still apply. Ask for an export before confirming this request.
15.2 The 30-day grace period, then what deletion removes. When you confirm, you are signed out everywhere and your account is marked for deletion. For 30 days nothing is removed: sign back in and the deletion is cancelled automatically, and your account is as you left it plus anything that arrived meanwhile. During those 30 days the account is not frozen: in the current beta, scheduled follow-ups can still be sent, Curve and mailbox imports can still run, and mail to your MasterHold address can still arrive — disconnect, remove forwarding rules and switch off schedules before you confirm if you want them to stop, or e-mail support@masterhold.com to have processing stopped sooner. After 30 days the account becomes eligible for the daily purge, which, subject to the retained records described in Section 15.4 and Privacy Policy Section 10, removes the following from our live systems: your profile and billing details, releases, contracts, statements, invoice files, extracted figures, e-mail threads and attachments, Curve connection and credentials, Gmail/Outlook connections and tokens, settings, sessions, support-access records, your beta-request record, and every file stored for you. See the Privacy Policy, Section 10, for backups and for copies the purge does not reach (copies already delivered to others, provider-held copies, the beta test inbox).
15.3 Export first. Before (or instead of) deleting, you can ask for a copy of your files and data at support@masterhold.com. We provide it in a reasonable, commonly used, machine-readable format (your original files plus structured data) within 30 days, or sooner where the law requires (EU/UK requests are normally answered within one calendar month). An export is a readable copy, not a restorable backup; we leave out credentials and anything we cannot lawfully disclose, and explain any limit. If the law permits an extension, we will tell you why and when we will respond, as explained in Privacy Policy Section 12.5.
15.4 What is kept. The self-service deletion route retains the records in (a); both routes retain the shared label directory in (b). The incident records, backups and other copies described in Privacy Policy Section 10 have their own retention rules.
- (a) Invoice and audit records, for 7 years, with personal details removed. Invoice numbers, amounts, dates, currencies and line items, invoice events and payments, and the activity and Curve audit trail, are kept for accounting record-keeping. Names, addresses, bank details, e-mail addresses and free-text notes are removed; a release title can remain, so these records may still be linkable to an artist and we treat and protect them as personal information with restricted access. They do not replace your own accounting records.
- (b) The shared label directory. The shared directory of label and distributor business contact details (for example a label's royalties e-mail address) that the Service builds up from the contracts and replies of all users and shows to all users. That is business contact data about labels, not personal data about you, and it stays so the next artist can find the right inbox. See the Privacy Policy, Section 8.
15.5 Suspension and termination by us. We may suspend or close your account if you break these Terms, if we must for legal or security reasons, or if we wind down the beta or the Service. Where we close the Service or end your access to it, we will give you reasonable notice — and, where Quebec consumer law requires 60 days' written notice before ending an indefinite-duration service contract and you are not in default, at least that notice — and a chance to export your data. Other mandatory notice rights also remain in force.
15.6 Survival. Sections 3, 6.4, 6.5, 9.2, 9.3 (for as long as data is held), 9.5, 9.6, 11, 13, 14, 15, 16, 17, and 19 survive the end of these Terms.
16. Indemnity
This section applies only if you use the Service for business purposes, and only to the extent the law permits; it does not apply to consumers. You will reimburse Butr inc, MasterHold and the people who run it for reasonable, proven losses (including reasonable legal fees) from a third-party claim to the extent it was caused by your unlawful conduct, your material breach of these Terms, e-mail you instructed us to send to someone you had no right to contact, or a Curve account, mailbox, or document you had no right to use or share. You do not indemnify us for loss caused by our own breach, negligence or other wrongful act. We will tell you promptly about the claim, take reasonable steps to reduce the loss, give you a reasonable role in the defence, and not agree to a settlement that imposes an obligation on you without your consent.
17. Governing law and disputes
17.1 These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable in it, without regard to conflict-of-law rules. If you are a consumer in a country or province whose law gives you mandatory protections, you keep them.
17.2 Talk to us first: most problems can be sorted out by e-mail at support@masterhold.com. Failing that, disputes will be heard in the courts of the judicial district of Montreal, Quebec, and both of us accept the jurisdiction of those courts — except that a consumer may bring or defend a claim in the courts of their own home, where the law gives them that right.
17.3 Language. These Terms and the Privacy Policy are currently published in English. Where Quebec law requires a French version to be given before an English-language contract may be accepted, that requirement applies; accepting this English text does not waive it. Questions about language versions: support@masterhold.com.
18. Changes to these Terms
18.1 We will update these Terms as the Service grows. Every version carries a version number and an effective date, and the current version is always at masterhold.com/legal/terms.
18.2 When we publish a new version, you will be asked to accept it at your next sign-in before you continue. A change never takes away rights the law gives you and never authorises a new consent-based use of your data before you give that consent. If a change materially reduces your rights, increases your obligations, or adds a new way we handle your data, we will e-mail you a clear notice at least 30 days before it takes effect, and where Quebec consumer law applies you may refuse it by cancelling without cost within the period that law provides. You can export your data or exercise your privacy rights without accepting a new version; if you do not accept, you can stop using the Service and delete your account.
18.3 Quebec consumers. For a consumer contract covered by Quebec's Consumer Protection Act, Section 18 (and the feature-change authority in Section 12.2) does not give us an unrestricted right to change the contract on our own. If we rely on a unilateral-amendment clause that Act permits, it must identify the elements that may change, and we will send you written notice at least 30 days before the change takes effect showing the new or amended clause, its previous wording where applicable, the effective date and your cancellation right; if the change increases your obligations or reduces ours, you may cancel without cost by notifying us no later than 30 days after it takes effect. Where unilateral change is not permitted, we will ask for a new agreement. The elements that may change this way are: the features included in the Service and the beta (Section 4); the price and contents of any paid plan we later offer (Section 4.4 — never without your prior agreement to a price); the providers listed in the Privacy Policy; the technical requirements for using the Service; and our contact details.
19. General
19.1 Subject to any separate written pilot commitment preserved by Section 4.2, these Terms and the Privacy Policy are the whole agreement between you and us about the Service.
19.2 If part of these Terms is unenforceable, the rest still applies.
19.3 If we do not enforce something straight away, we have not given it up.
19.4 You may not transfer these Terms to anyone else. We may transfer them to a successor of the Service, for example if Butr inc is reorganised, sells the Service, or is acquired, and we will tell you if that happens.
19.5 Neither of us is responsible for a delay to the extent it is caused by an event genuinely outside our reasonable control — which can include a third-party service (Google, Microsoft, Spotify, Curve, Apple, Cloudflare, Resend) limiting, suspending, or changing what we may do — provided we take reasonable steps to reduce the impact. This does not excuse duties that cannot lawfully be excluded.
19.6 Notices from us to you are sent to the e-mail address on your account. Notices from you to us go to support@masterhold.com.
